Terms and Conditions OUR AGREEMENT WITH YOU
www.vtel.ie (“Website”) is owned and operated by Vtel Limited, an Irish company, registered number 469942 having its registered office at Euro Business Park, Little Island, Cork Republic of Ireland. (“Vtel” “Us” or “We”). Your use of the site is governed by the following Terms and Conditions which are available only in the English language. These Terms and Conditions govern all use of the Website.
ONLINE PURCHASES If you make a purchase on the Website, you will be asked to click your acceptance of this Agreement. If you choose to do so, you are indicating that you are expressly accepting these Terms and Conditions and you consent to be bound by and to become a party to the electronic version of these Terms and Conditions which govern your relationship with us. If you choose not to click your acceptance of this Agreement prior to completing your online purchase, you will not be able to conclude your online transaction but your use of the Website will nonetheless continue to be subject to these Terms and Conditions.
PAYMENT CARD USE If you make a purchase on the Website, you are warranting to us that you are legally authorised to use the credit or other payment card for the proposed transaction and that you fully understand this Agreement. Whilst we use advanced technology for processing secure credit card based transactions and constantly upgrade according to the technical development we nevertheless do not accept liability for any damages of any nature resulting from you using your payment card on the Website. ERRORS If you make an error while making an online purchase, simply click on the back button on your browser and re-submit the correct information. If you receive incorrect information in any confirmation notice from us, please contact us immediately via eBay messages
CONFIRMATION OF PURCHASE If you successfully conclude an online purchase, we will send you a confirmation email which will include full details of your particular purchase as well as a link to a full copy of this Agreement. Emails will be deemed to have been sent by us once they leave our information system. However if you do not receive a confirmation email within 24 hours of completing an online transaction, please contact us immediately via eBay messages
CANCELLATIONS You may cancel your order at any time prior to your order being dispatched by sending an email via eBay messages
RETURNS If you are unhappy with your item (and it does not contain any fault) you may return it to us within 7 days of the date of delivery. The item must be returned to us unused and still within its original packaging. If the above is adhered to we will refund the cost of the goods including shipping costs but we will not refund the return shipping costs of the goods and if the goods are not in the original packaging or missing parts, there will be a 10 -30% restocking fee.
DAMAGED OR DEFECTIVE GOODS To report a faulty or defective item please contact us via ebay messages quoting your order number and details of the problem. All claims for damaged goods must be notified to us within 24 hours of receipt.
REFUNDS We will refund your credit / debit card (less 15% re-stocking charge) once we have received and processed the item. Please allow up to 14 days. We can only refund delivery costs if the return is a result of our error.
WARRANTY All equipment is covered by the manufacturer’s parts and labour warranties (which may vary according to the piece of equipment). In the event of a fault with any piece of equipment during the warranty period please contact us via eBay messages quoting your order number. We will advise where to send it for repair during the warranty period at your own cost.
DELIVERY POLICY Prices on the Website include delivery within the Republic of Ireland only. Whilst every effort will be made to ensure that all items shown are in stock we offer no guarantee of availability and this electronic publication does not constitute an offer for sale. Goods are normally dispatched within 48 hours. If we are unable to expedite your order within 7 days, we will contact you by email with an estimated dispatch date and offer you the option of cancelling the order or selecting other goods.
COLOUR The colour of goods may vary slightly from that shown on the Website due to limitations of browser software and monitors.
CONFIDENTIALITY All confidential information, including credit card details are held securely and only transmitted in encrypted form. Customer details will not pass to third parties.
JURISDICTIONThis Agreement is governed by the laws of the Republic of Ireland. The Irish Courts shall have exclusive jurisdiction to decide any disputes arising in relation to this Agreement.
FORCE MAJEURE We are not liable for any delay or failure in performance under the Agreement resulting directly or indirectly from Acts of God, terrorism or other causes beyond our reasonable control.
DISCLAIMERSWe reserve the right to refuse to provide or to suspend and/or terminate a person’s use of the eBay site by blocking them as a user at our absolute discretion and with no obligation to provide that person with any reasons for so doing. To the fullest extent permitted by law, the Vtel services are provided “as is” without any express or implied warranty or any kind including warranties of merchantability, non-infringement of intellectual property, or fitness for any particular purpose. In no event shall we be liable for any damages whatsoever including without limitation, damages for loss of direct or indirect profits, economic loss, business interruption, loss of information or any direct / indirect consequential or special losses howsoever caused including but not limited to any loss of contracts, loss of goodwill, and loss of reputation arising out of the use or inability to use the Website. Because some jurisdictions prohibit the exclusion or limitation of liability for any consequential or incidental damages, the above limitation may not apply to you.
If, notwithstanding the above disclaimers, Vtel is found to be liable to you, our liability shall not, for any reason, exceed the amount actually paid by you to us under this Agreement.
INTELLECTUAL PROPERTY The information contained in the Website is copyrighted and protected by Worldwide Copyright laws, Trade Mark laws and Treaty provisions. It may not be copied, reproduced, modified, published, uploaded or distributed in any way, without our prior written consent. Except as expressly provided herein, Vtel does not grant any express or implied right to you or any person in any intellectual property rights, details of members or trade secret information. No links to the Website are permitted without our prior written consent.
YOUR RESPONSIBILITIES
You warrant to us as follows:-
1. that you are fully and legally entitled to enter into this Agreement;
2. that you have full authority to execute this Agreement;
3. that your entering into this Agreement is not illegal in your jurisdiction and you will not use any Vtel service while located in any jurisdiction that prohibits the use of such services;
4. that you are over 18 years of age;
5. that all details provided by you to us are accurate and that you will not take steps to conceal your true identity from us such as by using pseudonyms, false addresses or taking technical steps to conceal your identity or location;
6. All goods ordered by you are for your own private and domestic use only.
You agree to indemnify us and our affiliates, officers, directors, agents and employees against any claims, losses or demands made by any third party arising out of your breach of this Agreement, your use of this Website or your violation of any law or the rights of any third party. You acknowledge that we will hold information with respect to your identity, including, but not limited to, your name, address and payment details. You agree that we rely on this information in entering this Agreement with you and you agree to hold us harmless against any falsehood or inaccuracy contained in the information you provide. You agree to indemnify us for any losses, costs or expenses which may be incurred by us as a result of any errors contained in instructions submitted by you, or any unauthorised or unlawful use of the Website.
CHANGES TO THIS AGREEMENT We may amend this Agreement at any time by posting the amended Terms on the Website. All amended Terms shall automatically be effective immediately they are posted on the Website. The continuing use of the Website and the Vtel services by a person following such modifications to this Agreement shall constitute acceptance of the new Agreement and you will be bound by such modifications. If you do not accept any such changes then your sole remedy is to cease using the Vtel services. You should print off a copy of this Agreement as amended from time to time and retain it for your records.
NOTICES Any notices or communications under this Agreement shall be by electronic mail or in writing and shall be deemed delivered upon despatch to the party to whom such communication is directed, at the address as specified below. If to Vtel, such notices shall be addressed to VTEL via eBay messages. If to you, such notices shall be addressed to the electronic or mailing address specified in your order form, or such other address as either party may give the other by notice as provided in this section. It is agreed that email can be used as a long-distance means of communication. It is your responsibility to provide an accurate address and to ensure that we are notified of any changes to your address as specified in this section.
GENERAL If any provisions of this Agreement are held to be invalid, void or unenforceable by reason of any law, rule, administrative order or judicial decision, that determination shall not affect the validity of the remaining provisions of this Agreement. The headings in this Agreement are for convenience of reference only and do not affect the construction or interpretation of any provision. Notices and other communications delivered or mailed to the postal address or to the electronic mail address provided by you shall, until we have received notice in writing of any different address, be deemed to have been personally delivered once sent. This Agreement shall inure to the benefit of Vtel and its successors, assigns and agents. We may assign our rights and duties under this Agreement to any of our subsidiaries or affiliates without giving notice, or to any other entity upon prior written notice. The relationship of Vtel and you established by this Agreement is that of independent contractors, and nothing contained in this Agreement.
CONSUMER RIGHTS None of the above Terms and Conditions affect your statutory consumer rights
